This document is an electronic record published in accordance with the provisions of the Information Technology Act, 2000, the rules made thereunder, and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. This electronic record is generated by a computer system and does not require any physical or digital signatures.

Spectacom Global Private Limited is a company registered in India under the Companies Act, 2013, having its registered office at 809 Udyog Vihar, Phase V, Gurugram (Haryana) – 122016 (referred to as “SGPL”, “Company”, “SnapdMe”, “we” or “us”) in these Terms and Conditions (“T&Cs”). The terms “you”, “your” or “User” refer to all individuals and/or entities browsing, accessing or using the mobile application and/or the website www.snapdme.com (collectively referred to as the “SnapdMe Platform”), including to upload a photograph or video, search for, discover, retrieve, view, share, or purchase Event Media using our facial-recognition-enabled Services (as defined hereinafter), or for obtaining information regarding the same.

By accessing and interacting on the SnapdMe Platform, you agree to be bound by these T&Cs, which form a binding agreement between you and SGPL. Please familiarise yourself with these T&Cs, our Privacy Policy, and any other terms and conditions published on the SnapdMe Platform (collectively, “SnapdMe Policies”) before you use the SnapdMe Platform. If you do not agree with any provision of the SnapdMe Policies, please do not use or access the SnapdMe Platform.

We may, from time to time, change the SnapdMe Policies that govern your use of the SnapdMe Platform. Please check the SnapdMe Policies periodically to stay informed of the terms that apply at that time. We reserve the right to change the format or content of the SnapdMe Platform, or suspend its operation for maintenance or any other reason, at our discretion.

1. ELIGIBILITY

1.1. Only persons who can enter into legally binding contracts under the Indian Contract Act, 1872, i.e., persons who are 18 (eighteen) years of age or older, of sound mind, and not otherwise disqualified from contracting under Applicable Law, may register an account, upload a photograph or video, or purchase any Scan Pack or paid feature on the SnapdMe Platform.

1.2. The SnapdMe Platform is not intended for, and is not designed to permit registration or use by, any person under the age of 18 (eighteen) years (a “Minor”). If you are a Minor, you must not create an account, upload a photograph or video of yourself, or otherwise use the SnapdMe Platform, including with the consent of a parent or lawful guardian.

1.3. Notwithstanding Clause 1.2, Event Media made available on the SnapdMe Platform by an Event Organiser may include photographs or videos of Minors who are not themselves registered Users of the SnapdMe Platform. The collection, use, and protection of any such Minor’s Personal Data, including Biometric Data, is governed exclusively by Section 17 (Children and Persons Requiring Guardian Consent) of our Privacy Policy.

1.4. Where we become aware that a Minor has registered on, or provided a photograph or video of themselves to, the SnapdMe Platform in violation of this Clause 1, we reserve the right to suspend or terminate that person’s access, and to delete the relevant account and any associated Biometric Data, without prior notice.

1.5 Notwithstanding Clause 1.2, where an Event permits participation by a person between 16 (sixteen) and 18 (eighteen) years of age, such person may participate in the Event and be photographed or filmed as part of the Event Media only where a physical waiver and consent form has been signed at the Event by that person's parent or lawful guardian. Such physical waiver governs that person's participation in the Event and the capture of their Event Media, and does not by itself entitle them to create an account, upload a photograph or video of themselves, or otherwise use the SnapdMe Platform, which remains governed by Clause 1.2.

2. DEFINITIONS

Applicable Laws shall mean any and all: (i) laws, statutes, constitutions, treaties, rules, regulations, ordinances, codes, guidance; and (ii) all judicial, executive, legislative, administrative or military orders, directives, decrees, injunctions, judgments, permits, agreements, and other legal requirements, of, with, or adopted or imposed by any governmental authority, now or hereafter in effect, as amended from time to time.

Data Protection Law shall mean the Digital Personal Data Protection Act, 2023 and rules made thereunder, the Information Technology Act, 2000 and rules made thereunder, and any other Applicable Law governing the protection, security, or privacy of Personal Data.

Personal Data shall have the meaning given to it in the Privacy Policy, which governs the collection, use, storage, sharing, and protection of your Personal Data.

Biometric Data shall mean facial-recognition templates and other biometric identifiers derived from a photograph that you upload of yourself, or that appears in Event Media, and used solely to match you to your photographs and videos for the purposes described in the Privacy Policy.

Event shall mean any function, gathering, race, run, concert, or other activity in respect of which an Event Organiser makes Event Media available on the SnapdMe Platform.

Event Organiser shall mean the organiser, sponsor, or official photography partner of an Event who uploads or otherwise makes Event Media available on the SnapdMe Platform.

Event Media shall mean photographs and videos captured at an Event by or on behalf of an Event Organiser and made available on the SnapdMe Platform for discovery and retrieval by attendees using the Services.

Services shall mean and include, without limitation, the facial-recognition-enabled event photo and video discovery, matching, retrieval, viewing, downloading and sharing services offered through the SnapdMe Platform, together with any Scan Packs or other ancillary paid features offered in connection therewith.

User Content shall mean any photograph, video, comment, feedback, or other material uploaded, submitted, or transmitted by a User to or through the SnapdMe Platform, other than the User’s own Personal Data, which is governed exclusively by the Privacy Policy.

Intellectual Property Rights shall mean and include: (i) all rights, title, and interest under any statute or Applicable Law including patent rights, copyrights including moral rights, trademark and design rights, and any similar rights anywhere in the world; (ii) any licences, permissions and grants in connection therewith; (iii) applications for any of the foregoing; (iv) the right to obtain and hold registrations anywhere in the world; (v) extensions and renewals thereof; and (vi) causes of action, past, present or future, related thereto.

3. OUR SERVICES

3.1. The SnapdMe Platform enables Users to: (a) upload a photograph of themselves to search Event Media using facial-recognition technology; (b) view, share, and download Event Media that is matched to them; and (c) access information regarding the Services, the SnapdMe Policies, and to communicate with us or raise support requests.

3.2. Event Media made available on the SnapdMe Platform is uploaded by, or on behalf of, Event Organisers for a given Event, and not captured by SGPL. Our reliance on Event Organiser representations regarding such Event Media is set out in Clause 8 below.

3.3. We may, from time to time, offer Scan Packs, additional searches, downloads, or premium/subscription features for purchase, on the terms set out in Clause 15 (Payments, Fees and Refunds).

3.4. Facial-recognition and photo-matching technology is probabilistic in nature. We do not warrant that the Services will identify or retrieve every photograph or video in which you appear, or that every match generated will be accurate; see further Clause 16 (Disclaimer of Warranties and Accuracy of Content).

3.5 SGPL may modify, suspend, discontinue, replace, or remove any feature, Service, Scan Pack, algorithm, pricing model, or functionality at any time without liability, except in respect of Services already purchased by a User.

4. USE OF THE SNAPDME PLATFORM

4.1. SGPL and its group companies, subsidiaries, affiliates, officers, employees, agents, partners and licensors make no warranty that any errors on the SnapdMe Platform will be corrected within a specific time period. Any material downloaded or otherwise obtained through use of the SnapdMe Platform is accessed at your own discretion and risk.

4.2. You will use the SnapdMe Platform in accordance with Applicable Laws and will not use it in a way that infringes the rights of anyone else, including their Intellectual Property Rights, privacy, publicity, or contract rights.

4.3. You have a limited licence to access and use the SnapdMe Platform solely for the purpose of availing the Services, communicating with us, or raising support requests, subject to these T&Cs. Without our prior written consent, you may not:

  • copy, reproduce, crawl, frame, republish, download, print, post, distribute, re-post, broadcast, record, transmit, edit, communicate to the public, or deep-link into the SnapdMe Platform or its underlying code;
  • use the SnapdMe Platform or any content on it, including any Event Media, for any commercial purpose;
  • use data mining, robots, spiders, or similar tools to extract any part of the SnapdMe Platform, including any Event Media or Biometric Data;
  • use the facial-recognition search feature of the Services to search for, identify, or attempt to locate any individual other than yourself; or
  • create or publish your own database featuring any part of the SnapdMe Platform, including any Event Media.

4.4. Where you correspond with, purchase from, or participate in a promotion of any advertiser, sponsor, or third party through the SnapdMe Platform, that transaction is solely between you and the third party, and SGPL has no liability in respect of it.

4.5. SGPL has no obligation to monitor your use of the SnapdMe Platform but may do so to ensure compliance with the SnapdMe Policies, comply with Applicable Law or a governmental or judicial order, detect or prevent fraud or security issues, respond to support requests, or protect the rights, property, or safety of SGPL, its Users, or the public. SGPL may cooperate with law enforcement authorities in relation to any violation of the SnapdMe Policies.

4.6 SGPL reserves the right to investigate any suspected fraud, abuse, misuse of facial-recognition technology, unauthorised account access, payment fraud, automated access, scraping, or any breach of these Terms. For such purposes, SGPL may preserve relevant account information, technical logs, access records, device identifiers, and other evidence to the extent permitted under Applicable Law and may cooperate with competent governmental authorities.

5. USE OF THE SNAPDME PLATFORM FROM OUTSIDE INDIA

Except where otherwise specified, the materials on the SnapdMe Platform are displayed solely to promote our Services available in India. Users who access the SnapdMe Platform from outside India are entirely responsible for compliance with the Applicable Laws of that jurisdiction. These T&Cs do not constitute, and may not be used in connection with, any promotional activity or solicitation in a jurisdiction where such activity is not authorised, or directed at any person to whom it is unlawful to promote or solicit. Users represent that they are not located in, or ordinarily resident in, any jurisdiction subject to sanctions, trade restrictions, or export control laws applicable to SGPL under Applicable Law and shall not use the Services in violation of such laws.

6. USER ACCOUNT AND REGISTRATION

6.1. You may be required to create an account and provide accurate, complete, and updated information, including for the purpose of enabling facial-recognition matching under Clause 7.

6.2. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at the email address in Clause 28 of any unauthorised use of your account or any other suspected breach of security.

6.3. You agree not to: (a) misuse the SnapdMe Platform, upload illegal or infringing content, or violate any third party’s rights; (b) use the SnapdMe Platform for any unauthorised commercial purpose; or (c) interfere with, disrupt, or attempt to circumvent SnapdMe’s systems or security features.

6.4 SGPL may, without prior notice, suspend, restrict, disable, or permanently terminate any User account where it reasonably believes that: (a) these Terms have been violated; (b) the User has impersonated another individual; (c) facial-recognition technology has been misused to identify another individual; (d) fraudulent or unauthorised payment activity has occurred; (e) automated tools, bots, crawlers or scraping technology have been used; (f) the User has repeatedly infringed intellectual property or privacy rights; or (g) such action is necessary to comply with Applicable Law or protect the Platform, its Users or SGPL.

7. USER CONTENT, PHOTOGRAPH UPLOADS AND BIOMETRIC DATA

7.1. This Clause 7 governs any User Content – including comments, feedback, ideas, and any photograph or video (other than a photograph you upload of yourself solely to search for Event Media) – that you submit, upload, or otherwise disclose to SGPL on or through the SnapdMe Platform. By making such a submission, you grant SGPL a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sub-licensable, and transferable licence to use, reproduce, modify, adapt, publish, distribute, publicly display, and create derivative works from that User Content, in any media now known or hereafter devised, for purposes connected with SGPL’s Services, marketing, and Platform operation.

7.2. The licence in Clause 7.1 does not apply to any photograph or video you upload of yourself for the purpose of facial-recognition matching, or to the Biometric Data derived from it. Such photographs and your Biometric Data are collected, used, retained, and deleted strictly in accordance with, and only to the extent you have consented under, Section 4 (Facial Recognition and Biometric Data) of the Privacy Policy.

7.3. You represent and warrant that: (a) you own, or have all necessary rights and consents to grant the licence in, each item of User Content you upload; (b) where any User Content depicts an identifiable individual other than yourself, you have that individual’s knowledge and consent to upload it to the SnapdMe Platform; and (c) your User Content does not infringe any third party’s rights and is not defamatory, unlawful, or otherwise injurious to any person. You agree to indemnify SGPL and its affiliates against any third-party claim arising out of a breach of this warranty, as further set out in Clause 18 (Indemnification).

7.4. User Content (other than Biometric Data and Personal Data governed by the Privacy Policy) is treated as non-confidential and non-proprietary as between you and SGPL for the purposes of the licence in Clause 7.1. SGPL may disclose your identity to a third party who claims that any User Content infringes their Intellectual Property Rights or right to privacy, where required or permitted by Applicable Law. SGPL is not responsible for the content or accuracy of any User Content uploaded by you or any other User.

7.5. SGPL reserves the right, at any time and at its sole discretion, to remove, suspend, edit, or disable access to any User Content it considers objectionable, in violation of these T&Cs, or otherwise harmful to the SnapdMe Platform, including upon receipt of a third-party or governmental complaint.

7.6. If User Content provided by you is found to be false, inaccurate, or uploaded without the necessary rights or consents, SGPL may restrict your use of the Services without prior notice.

8. EVENT MEDIA AND EVENT ORGANISER RELIANCE

8.1. Event Media made available on the SnapdMe Platform is uploaded by, or on behalf of, Event Organisers, and is not captured by SGPL. Each Event Organiser represents and warrants to SGPL that it has obtained all consents, permissions, and rights necessary under Applicable Law to capture, upload, and make available such Event Media, including in respect of any Minors or other individuals who appear in it.

8.2. SGPL relies upon each Event Organiser’s representations regarding the legality of the collection of its Event Media, and is not independently responsible for obtaining individual photography or event-entry consents from attendees. SGPL disclaims liability in connection with an Event Organiser’s own photography, consent-collection, or data-protection practices, which are governed by that Event Organiser’s own policies.

8.3. If you believe Event Media featuring you (or, where applicable, a Minor in your care) has been made available on the SnapdMe Platform without appropriate consent, you should raise the concern directly with the relevant Event Organiser and/or notify us at the email address in Clause 28, so that we can investigate and, where appropriate, remove such Event Media. Upon receipt of a credible complaint or where required under Applicable Law, SGPL may temporarily restrict access to, remove, disable, or cease processing the relevant Event Media pending investigation and may permanently remove such Event Media where appropriate.

8.4 As between any Event Organiser (including SGPL, where it organises or co-organises an Event) and any User or attendee, all photographs and videos captured at an Event constitute the property of the Event Organiser. By attending, registering for, or participating in an Event, you acknowledge that the Event Organiser holds a perpetual, irrevocable, worldwide, royalty-free right to capture, use, reproduce, publish, distribute, and otherwise exploit such photographs and videos, in any media, for any purpose including archival, promotional, marketing, and commercial purposes, without further consent, notice, or compensation to you, save as required under Applicable Law. This right is without prejudice to the limited licence granted to registered Users under Clause 3.1 to view, share, and download Event Media matched to them.

9. SOCIAL NETWORKING SITES

Any User Content you make on a third-party website or page, such as Facebook, Instagram, X, or YouTube or any other platform, is governed by the terms of use and policies of that platform. You should read those terms before posting, and any use of such platforms is entirely at your own risk. Content posted on any third-party platform does not necessarily reflect SGPL’s views and SGPL is not responsible for it.

10. INTELLECTUAL PROPERTY OF SGPL

10.1. All rights, including copyright and other Intellectual Property Rights, in and to the SnapdMe Platform, its software, interface, design, and the Services (excluding User Content and Event Media, in which rights are addressed under Clauses 7 and 8) are owned by or licensed to SGPL. We grant you a non-exclusive, limited, royalty-free, and revocable licence to use the SnapdMe Platform to avail the Services. This grants you no rights in our Intellectual Property Rights or those of any third party.

10.2. All trade names associated with SGPL and logos denoted with ™ or ® are trademarks or registered trademarks of SGPL or its affiliates. These marks may not be used in connection with any product or service that is not an SGPL product or Service, without SGPL’s prior written consent.

11. PERSONAL DATA AND BIOMETRIC DATA

Any Personal Data you provide to us, or that we collect through your use of the SnapdMe Platform, including any photograph you upload and the Biometric Data derived from it, is collected, used, stored, shared, retained, and protected strictly in accordance with, and only to the extent you have consented under, the Privacy Policy. In particular, Section 4 of the Privacy Policy sets out the specific consent mechanism, purpose limitation, retention period, and your right to withdraw consent, applicable to your Biometric Data. The Privacy Policy governs all such processing.

12. CONFIDENTIALITY

12.1. User Content. As set out in Clause 7.4, User Content (excluding Biometric Data and Personal Data) is treated as non-confidential and non-proprietary for the purposes of the licence granted to SGPL under Clause 7.1.

12.2. Your Confidentiality Obligations. During your use of the SnapdMe Platform, you may receive information relating to SGPL or its Services that is not known to the general public (“Confidential Information”). You agree that: (a) Confidential Information remains SGPL’s exclusive property; (b) you will use it only as reasonably necessary for your use of the Services; (c) you will not disclose it to any other person; and (d) you will take reasonable measures to protect it. You may not issue a press release, make a public statement, or use SGPL’s name, trademarks, or logo in promotional material without SGPL’s prior written permission.

13. USER WARRANTIES AND PROHIBITED CONTENT

You are prohibited from hosting, displaying, uploading, modifying, publishing, transmitting, or sharing on or through the SnapdMe Platform any information, photograph, or video that:

  • belongs to another person and to which you do not have any right, or depicts another identifiable individual without that individual’s knowledge and consent;
  • is defamatory, obscene, pornographic, pedophilic, invasive of another’s privacy including bodily privacy, insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, relates to or encourages money laundering or gambling, or is otherwise inconsistent with or contrary to Applicable Law;
  • is harmful to a Minor in any way;
  • infringes any patent, trademark, copyright, or other Intellectual Property Rights;
  • deceives or misleads the recipient about the origin of a message or the identity of the individual depicted, or is grossly offensive or menacing in nature;
  • impersonates another person, or is uploaded using a photograph of an individual other than yourself for the purpose of facial-recognition matching;
  • threatens the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign states, or public order, or incites the commission of a cognizable offence, prevents investigation of an offence, or insults another nation;
  • contains a software virus or other code designed to interrupt, damage, or limit the functionality of any computer resource, or that probes, scans, hacks, or tests the vulnerability of the SnapdMe Platform;
  • makes false or malicious statements against SGPL, its Services, or the SnapdMe Platform; or
  • otherwise violates these T&Cs or any Applicable Law.

SGPL reserves the right, without prior notice, to remove, suspend, edit, or disable access to any content it considers, in its reasonable discretion, to fall within the above categories, and to investigate and pursue all available legal remedies, including cooperating with law enforcement authorities.

14. GRIEVANCE REDRESSAL AND INTERMEDIARY COMPLIANCE

14.1. As the SnapdMe Platform hosts User Content and Event Media, SGPL acts as an intermediary and follows the due-diligence requirements of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

14.2. SGPL will acknowledge a complaint concerning content that violates Clause 13 24 (twenty-four) hours of receipt, and will endeavour to resolve or dispose of such complaint within 15 (fifteen) days of receipt. Where SGPL receives an order from a court of competent jurisdiction or an appropriate government authority requiring removal or disabling of access to any content, SGPL will act upon such order within 36 (thirty-six) hours.

14.3. Grievances relating to the SnapdMe Platform, the Services, or these T&Cs, including any complaint regarding Event Media or Biometric Data, may be raised with our Grievance Officer:

The Grievance Officer will acknowledge receipt of a grievance within 48 (forty-eight) hours and endeavour to redress it within 30 (thirty) days to the extent applicable to SGPL’s activities. By lodging a complaint or grievance, you agree to provide complete support to the Grievance Officer and such reasonable information as may be sought by them from you.

15. PAYMENTS, FEES AND REFUNDS

15.1. SGPL may charge fees for Scan Packs, additional searches, downloads, or premium/subscription access to the Services, as displayed on the SnapdMe Platform at the time of purchase.

15.2. All payments shall be made through secure third-party payment gateways. SGPL does not store your full card, bank account, or other payment instrument details on its own servers; such information is processed by our payment gateway partners in accordance with the Privacy Policy.

15.3. Fees, once paid, are non-refundable, except where SGPL determines, in its reasonable discretion, that a proven technical error attributable to SGPL prevented delivery of the Scan Pack or Service you purchased.

15.4. SGPL may revise the pricing of its Scan Packs or other paid features from time to time. Any such revision will apply prospectively and will not affect a Scan Pack or Service already purchased by you.

16. DISCLAIMER OF WARRANTIES AND ACCURACY OF CONTENT

We try to ensure that information on the SnapdMe Platform is correct at the time of inclusion, but we do not guarantee its accuracy, completeness, or currency, and disclaim all warranties in this respect to the extent permitted by Applicable Law. Facial-recognition and photo-matching technology is probabilistic in nature; we do not warrant that the Services will be error-free or uninterrupted, that the technology will always identify or match faces accurately, or that every item of Event Media in which you appear will be retrieved. We do not warrant that Event Organisers or other third-party contributors will comply with Applicable Law in capturing or uploading Event Media, subject always to Clause 8. Views expressed in User Content are those of the relevant User and do not represent SGPL’s views. Any use of the SnapdMe Platform or its content is at your own risk. The SnapdMe Platform is provided on an “as is” and “as available” basis, without warranties of merchantability, fitness for a particular purpose, or non-infringement, except as required by Applicable Law. SGPL does not guarantee that every Event participant will be photographed, that every photograph or video captured by an Event Organiser will be uploaded to the Platform, or that any Event Media will remain available for any minimum period.

17. LIMITATION OF LIABILITY

17.1. To the fullest extent permitted by Applicable Law, SGPL, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages, including data loss, unauthorised access, or reputational harm, arising out of or in connection with your use of the SnapdMe Platform or the Services.

17.2. SGPL’s aggregate liability for any claim arising out of or in connection with your use of the SnapdMe Platform or the Services, whether in contract, tort, or otherwise, shall not exceed the total fees actually paid by you for the Services (if any) in the 6 (six) months preceding the cause of action.

17.3. SGPL is not liable for the accuracy or completeness of any facial-recognition match, or for an Event Organiser’s compliance with Applicable Law in capturing or uploading Event Media, subject always to Clause 8.

17.4. We are not responsible for, and disclaim liability in connection with, the security practices, content, or privacy policies of a third-party site or a third-party service provider engaged by you independently of SGPL, including where that third party has independently obtained your Personal Data.

18. INDEMNIFICATION

You agree to indemnify, defend and hold harmless SGPL, its officers, directors, employees and agents from and against claims, losses, liabilities, damages, costs and expenses (including legal fees) arising out of or in connection with: (a) your breach of these T&Cs; (b) any User Content or photograph uploaded by you, including any claim that it infringes a third party’s rights or was uploaded without that person’s knowledge or consent; (c) your provision of inaccurate, incomplete, or fraudulent information to us; (d) your violation of Applicable Law; or (e) your infringement of a third party’s Intellectual Property Rights. The foregoing indemnity shall survive termination of these Terms.

19. COMMUNICATIONS AND MARKETING CONSENT

19.1. Where you have provided consent at the point of collection, we will send you service, transactional, and account-related communications by SMS, WhatsApp, call, email, or other electronic means to your registered contact details.

19.2. We will send you promotional or marketing communications only where you have given separate, specific, opt-in consent to receive them.

19.3. You may withdraw your consent to promotional communications, or unsubscribe from them, at any time, by following the instructions in such communications or by contacting us at info@spectacom.in. Withdrawal of consent will not affect transactional or service communications necessary for us to provide the Services to you.

20. THIRD-PARTY LINKS AND SERVICES

The SnapdMe Platform may contain links to third-party websites or integrate with third-party services, including payment gateways. We are not responsible for the availability, content, or practices of such third-party websites or services. Accessing or using such third-party websites or services is entirely at your own risk, and any transaction with such a third party is governed solely by that third party’s own terms and policies. SGPL shall not be liable for any interruption, delay, data loss, payment failure, security incident, or other issue arising solely from third-party service providers including payment gateways, cloud hosting providers, content delivery networks, analytics providers, communication providers, or identity verification providers.

21. OTHER LEGAL NOTICES

There may be legal notices in other areas of the SnapdMe Platform relating to your use of it, all of which, together with the SnapdMe Policies, govern your use of the SnapdMe Platform.

22. MODIFICATION OF THESE T&Cs

We may update, replace, or amend these T&Cs from time to time to comply with Applicable Law or to reflect our changing business requirements. Updates will be posted on the SnapdMe Platform and, unless stated otherwise, take effect immediately upon posting. We encourage you to review these T&Cs periodically. Your relationship with the SnapdMe Platform is governed by the most current version published on the SnapdMe Platform.

23. ASSIGNMENT AND THIRD-PARTY RIGHTS

You may not assign or sub-contract any right or obligation under these T&Cs without our prior written consent. User accounts and rights granted under these Terms are personal, non-transferable, and may not be assigned or transferred without SGPL's prior written consent. We may assign, transfer, or sub-contract any of our rights or obligations under these T&Cs to any third party at our discretion, including in connection with a merger, acquisition, or sale of assets, provided the assignee remains bound by these T&Cs. Only you and SGPL may enforce these T&Cs; no third party has any right to do so.

24. NO WAIVER OF RIGHTS

No relaxation or delay by SGPL in exercising any right or remedy under these T&Cs operates as a waiver of that right or remedy, nor affects SGPL’s ability to subsequently exercise it. Any waiver by SGPL must be in writing.

25. SEVERABILITY

Each section of these T&Cs shall be interpreted, wherever possible, to be valid under Applicable Law. If any provision is found illegal, invalid, or unenforceable by a court of competent jurisdiction, that provision shall be ineffective only to the extent of such invalidity, without affecting the remainder of these T&Cs, which shall remain in full force and effect.

26. ENTIRE AGREEMENT

The SnapdMe Policies, including these T&Cs and the Privacy Policy, set out the entire agreement between you and SGPL in relation to your use of the SnapdMe Platform and the Services, and supersede any prior terms, conditions, or representations, to the fullest extent permitted by Applicable Law.

27. GOVERNING LAW AND JURISDICTION

These T&Cs shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these T&Cs shall be subject to the exclusive jurisdiction of the courts at Gurugram, Haryana.

28. SURVIVAL

The provisions relating to Intellectual Property Rights, User Content, Confidentiality, Payments, Disclaimers, Limitation of Liability, Indemnification, Governing Law, Jurisdiction, Dispute Resolution, Notices, and any provision which by its nature is intended to survive termination shall survive termination or expiration of these Terms.

All notices and communications shall be in writing, in English, and deemed given if delivered personally, by commercial courier, by registered or certified mail (return receipt requested), or by email, to:

30. FORCE MAJEURE

SGPL shall not be responsible for any delay, loss, damage, or failure to comply with its obligations under these T&Cs to the extent such failure arises from a cause beyond SGPL’s reasonable control (“Force Majeure Event”), including but not limited to pandemic, epidemic, fire, flood, explosion, act of God, civil commotion, strike, lock-out, industrial action, riot, insurrection, war, act of government, cyber-attack, internet or hosting outages, or power failure.

31. INTERPRETATION

Headings, subheadings, and titles are for information only and do not form part of the operative provisions of these T&Cs. Words denoting the singular include the plural, and words denoting any gender include all genders. The words “include” and “including” are to be construed without limitation.
